General

The terms and conditions outlined herein govern the services provided by Propelsoft UK Limited, an independent property inventory company and supplier in the property lettings market. By engaging Propelsoft UK Limited for property inventory services, instructing principals and their clients, as well as their legal representatives, signify their acceptance and agreement to these terms and conditions.

Provision of services

When a client designates an instructing principal to engage Propelsoft UK Limited’s services, it is the instructing principal’s responsibility, not Propelsoft UK Limited’s, to inform the client about the terms and conditions of business. Propelsoft UK Limited does not accept or acknowledge ignorance from either the instructing principal or the client. Rest assured, we prioritize clarity and ensure open communication to avoid any misunderstandings.

Fees

  1. The instructing principal commissioning services is responsible for covering all fees associated with services provided to or on behalf of the client, as per the applicable fee scale.
  2. The principal in charge of giving instructions is responsible for promptly settling all fees associated with the services rendered within the agreed-upon timeframe, as specified in the presented invoice.
  3. If the client does not have an instructing principle representing them, they will need to pay all fees prior to or at the scheduled date and time of the services. Failure to do so will result in the services being canceled.
  4. Propelsoft UK Limited retains the authority to levy interest charges in the event of late payment for fees overdue by more than fourteen working days from the stipulated invoice date. The interest rate of 4% net will be added monthly.
  5. If an appointment attended by a Propelsoft UK Limited representative, as commissioned by an instructing principle and/or client, cannot proceed, whether due to circumstances within or beyond their control, Propelsoft UK Limited reserves the right to charge an abortive fee at 50% of the full invoice amount.
  6. In the event of any discrepancies arising from the instructions given by the principal or client, necessitating the need for the service to be redone, the subsequent or ‘new’ appointment will be treated as a separate entity and will be subject to full charges.
  7. All reports generated by Propelsoft UK Limited and delivered via any means shall remain the exclusive property of Propelsoft UK Limited until all fees have been fully paid.
  8. The mobile App allows users to upload up to a maximum of 20 properties for a period of 7 days. After this time, the App will automatically remove these properties from its database.

Handling Disputes And Complaints

  1. To address any concerns regarding the services or invoice provided by Propelsoft UK Limited, clients or authorized representatives must notify us within 5 working days of service completion or prior to returning any tenancy deposit/bond to the tenant. Your feedback is essential in ensuring our continued improvement and customer satisfaction.
  2. Propelsoft UK Limited holds no responsibility for any errors or omissions in the report’s data.
  3. In case of a dispute between clients where full payment has not been received, all reports delivered by Propelsoft UK Limited services are the exclusive property of Propelsoft UK Limited. The utilization of these reports in any manner without written permission is strictly prohibited.
  4. Propelsoft UK Limited maintains the prerogative to abstain from court attendance in disputes arising from dilapidation assessments if a representative from Propelsoft UK Limited did not partake in the initial check-in appointment or sign on behalf of the client.
  5. Propelsoft UK Limited will go to court to challenge any dilapidation assessment upon the termination of the tenancy, provided that the client is represented and the original service report has been duly provided and signed by an authorized Propelsoft UK Limited representative.

Services

  1. The meticulously crafted reports by Propelsoft UK Limited serve as unbiased and precise documentation of the interior elements, including decor, fixtures, fittings, and furniture, as well as the overall internal condition of the property. Please note that the report primarily focuses on visual identification of items and does not include information on the original manufacturer or production period. It is important to understand that the report does not guarantee the adequacy or safety of any furniture, equipment, or contents; rather, it simply provides a comprehensive record of their presence at the time of the report.
  2. Please advised that the inventory clerk responsible for preparing this report is not an expert in fabrics, materials, antiques, or a qualified surveyor. Any mention of colors within the report is purely descriptive and does not pertain to any metallic properties. It is important to note that no attempt will be made to assign a monetary value to the property or its contents, nor will there be an assessment made regarding the authenticity of any items. Furthermore, it is crucial to understand that any report provided by Propelsoft UK Limited should never be utilized as a substitute for a structural survey report.
  3. The representative from Propelsoft UK Limited will not be responsible for handling heavy, large, awkward, and/or valuable furniture items during the moving process.
  4. Items that are left in hard-to-reach spots, such as lofts, cellars, or any areas behind locked doors, will not be included in the inspection list. The responsibility for these items solely rests with the client.
  5. Please ensure that all items are placed in their designated rooms as specified in the report at the end of the tenancy period. Failure to comply may cause appointment delays.
  6. Perishable items such as plants, cleaning materials, food and drink goods, as well as spare light bulbs, will not be included in the report. Additionally, Propelsoft UK Limited will not list a large number of books, CDs, and/or DVDs individually.y.
  7. Propsoft UK Limited will endeavor to conduct power testing on electrical appliances only when it is both practical and safe to do so. Unless explicitly mentioned, all electrical items are assumed to be equipped with necessary fixings, such as plugs and flexes.
  8. Utility meter readings will be taken and recorded during check-in and check-out. It is the responsibility of the clients and/or the instructing principal to provide information regarding the location of any such utility meters. If unaware of, unable to locate, or facing unreasonable access to the meters, they will remain unread. Propelsoft UK Limited reserves the right to decline subsequent visits on behalf of the client and/or instructing principal for utility meter readings.
  9. The instructing principal and/or client bear the responsibility for property security, heating, plumbing, and meter usage, both before and after the service provided by Propelsoft UK Limited.
  10. Please be aware that Propelsoft UK Limited cannot independently verify any time gaps between the completion of the inventory report and the check-in and/or check-out, followed by a subsequent check-in. It should also be acknowledged that during this period, there is a possibility of alterations being made to the property, including damages, removal or addition of items.
  11. Propelsoft UK Limited is not liable for any loss or unaccounted keys. We regret any inconvenience caused.
  12. Propelsoft UK Limited reserves the right to modify any aspect of our service and/or pricing, taking into account future market changes, updated legislation, or any deemed relevance. We are committed to informing all existing customers in advance of any such changes, either through written communication or verbal notification, prior to booking any additional services.

Dilapidations

  1. Upon termination of the tenancy, a thorough review is conducted on the check-in and/or inventory report. Any disparities or deviations found are promptly reported to the instructing principle and/or the client. The check-out report, as assessed by a representative of Propelsoft UK Limited, will indicate whether the tenant bears any responsibility or if any deterioration can be attributed to fair wear and tear. The assessment of fair wear and tear considers factors such as the tenancy duration, type of occupancy, item quality, and durability, taking note of items that naturally experience more use. It should be noted that the contractual terms outlined in the tenancy agreement may supersede the assessor’s opinion.
  2. Propelsoft UK Limited shall not be held responsible for any dilapidations, whether noted or not, mentioned in the report or otherwise, nor shall it accept any liability for compensatory measures in relation thereto.

Regulations

  1. Theing principle and/or the client bear the responsibility for all regulations published by the Department of Trade and Industry, Trading Standards, or any similar parties. It is crucial to prioritize word choice, structure, readability, and eloquence while ensuring the original meaning remains intact.
  2. Please note that if the Propelsoft UK Limited reports mention the existence of a certificate, such as The Electrical Equipment Safety Regulations 1994, The Plugs and Sockets etc Safety Regulations 1994, The Gas Safety Regulations 1994, it does not imply that all records can be verified by Propelsoft UK Limited. This statement should not be interpreted as confirmation that an item complies with the necessary regulations. Instead, it is simply a documented observation that a certificate was present at the time of the report.
  3. Please note that when the report mentions “fire label seen,” it does not imply compliance with the “Furniture and Furnishings” (Fire, Safety & Amendments) 1993 regulations. It simply indicates that the item had a label described or similar to the one specified in the ‘Guide to the Furniture and Furnishings’ (Fire)(Safety) Regulations published by the Department of Trade and Industry in January 1997 or subsequent editions, at the time of compiling this report. It does not imply that the item meets the regulations’ requirements.

Exclusions of Liability and Indemnity

Propelsoft UK Limited shall be indemnified by the client and/or instructing principle for any penalties, damages, costs, and legal expenses arising from the implementation of instructions provided in good faith but later proven to be unlawful or resulting in unlawful acts or other claims. This indemnification is applicable even if the instructions were followed diligently.

Law and Jurisdiction

  1. This contract will be subject to English law in all respects, including formation and interpretation, and will be considered as executed in England.
  2. Any arising from or relating to this contract may be brought before any English court with competent jurisdiction, which shall have exclusive authority over such matters.

Contract

Any modifications to these terms shall only be binding if they are confirmed in writing by a duly authorized representative of Propelsoft UK Limited.

Modifications of these Conditions of Use

Propelsoft UK Limited holds the authority to modify the terms, conditions, and notices at its discretion. Such updates will be in effect immediately upon their publication. Consequently, it is the responsibility of the client and/or instructing principal to regularly review these Terms and Conditions along with any additional terms or notices posted on the Propelsoft UK Limited website. By continuing to access this website, the client and/or instructing principal signifies their unequivocal acceptance of the modified agreement.

Disclaimer of Warrant / Limitation of Liability

  1. The Propelsoft UK Limited website and its related information are provided by Propelsoft UK Limited on an “as is” and “as available” basis. Propelsoft UK Limited does not make any express or implied warranties, representations, or endorsements of any kind regarding the operation of the website or the information, content, materials, or products included on it. You expressly acknowledge and agree that your use of the website is solely at your own risk.
  2. To the fullest extent permitted by applicable law, Propelsoft UK Limited hereby disclaims all warranties, whether express or implied, including but not limited to implied warranties of merchantability and fitness for a particular purpose. Propelsoft UK Limited does not warrant that the website, its servers, or email sent from Propelsoft UK Limited are free of viruses or other harmful components. Propelsoft UK Limited shall not be held liable for any damages arising from the use of the site, including but not limited to direct, indirect, incidental, punitive, and consequential damages. Propelsoft UK Limited strives to provide accurate and up-to-date information on the website but assumes no liability or responsibility for any typographical or other errors or omissions in the site’s content. In the event that a product is listed at an incorrect price or with other incorrect information, Propelsoft UK Limited reserves the right to refuse or cancel any orders placed for the product with incorrect information. If a product offered by Propelsoft UK Limited does not match its description, your sole remedy is to return it to Propelsoft UK Limited for a refund. Please note that all postage and shipping costs required to return a product will be borne by the buyer.
